'GMA's' Musical.ly Challenge Contest Official Rules

Create a video of you dancing or lip-synching to the song for each round.

Eligibility Guidelines: Contest sponsored by Good Morning America ("GMA"), American Broadcasting Companies, Inc. (“ABC”), and musical.ly, Inc. (“musical.ly”) (collectively, the "Sponsors").

Entrants (“Entrant”) to “GMA’S MUSICAL.LY CHALLENGE" (“Contest”) must be legal residents of the 48 contiguous United States or the District of Columbia and sixteen (16) years old or older. Entrants must be available to participate in up to four contest rounds and potentially travel to New York on or about 06/16/16. Entrants under the age of eighteen (18) years old must travel with a parent or guardian.

Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for the Sponsors, musical.ly, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the prize, and each of their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

How to Enter: To enter, download the musical.ly app (“App”) from the Apple App Store, Google play, or the Amazon Appstore and set up a musical.ly user profile. On the App, use the “search” tab (second tab on the bottom left) and locate the “#GMACHALLENGE” which will take you to the Contest landing page. Use the “post video” option to create your video (“Video”) where you perform your own dance and/or lip-synch interpretation of any portion of the song available for each round of the Contest. Entrant must perform in the Video. Other people (“Participants”) may also perform in the Entrant’s Video, but only the Entrant will be eligible to travel to New York if selected for the Finals. Any Participant under 13 years old must have the permission of a Parent to participate. You are prohibited from using any other music, songs, melodies, recordings, lyrics, or from singing in your Video. The performances must be appropriate for a morning TV audience, and cannot, for example, include any nudity, lewd, provocative or indecent content that is inappropriate for the general public including children. Any Videos that violate these rules or include inappropriate or offensive content, in the sole discretion of the Sponsors, may be disqualified and deleted. Limit one (1) Entry per person for each round of the Contest.

You warrant and represent that your Video and all of the materials submitted by you are original to you (and not based on or derived from any other materials), that you own all necessary rights in and to the Video (with the exception of the rights to songs supplied for each Round of the Contest) which are fully transferable, and that you are not subject to any recording agreement, production agreement, union or guild agreement, or any similar agreement which would interfere with your ability to enter into this Contest or grant all of the rights to be provided hereunder. Accordingly, you further warrant and represent that you have the right to enter into this agreement and grant the rights hereunder without the need for permission from or payment to any other party and that the exercise of the rights set forth herein and in the Contest Rules by the Sponsors will not violate any third party rights and will not violate any contractual obligations or confidential relationships which you may have to or with any third party. Your Video should not contain any third-party logos, brands, products or trademarks or you may risk disqualification. This means that no one in your Video should wear any clothing or hats containing third party logos or trademarks.

You may not submit your Video in any other contest or promotion.

Incomplete Entries will be disqualified. Proof of entering information at the Contest Site is not considered proof of delivery to or receipt by Sponsors of such Entry. Personal information collected in connection with this Contest will be used in accordance with musical.ly’s privacy policy, available at http://musical.ly/privacy.html.

Contest Entry Period: "GMA's musical.ly Challenge Contest" entry period begins at approximately 8:30 a.m. Eastern Time ("ET") on Monday, 06/06/16 and ends at 5:00 p.m. ET on Tuesday, 06/14/16 (the "Contest Period"). Each round of the contest shall be as follows: Round One opens at approximately 8:30 a.m. ET on Monday, 6/06/16 and closes at 12:00 p.m. ET on Wednesday, 06/08/16. Round Two opens at approximately 8:30 a.m. ET on Monday, 06/13/16 and closes at 5:00 p.m. ET on Monday 06/13/16. Round Three opens at approximately 8:30 a.m. on Tuesday 06/14/16 and closes at 5:00 p.m. ET on Tuesday 06/14/16. Two Finalists (“Finalists”) selected from Round Three will travel to New York on or about Thursday 06/16/16 to compete in the Finals on Friday 06/17/16 on GMA. Sponsors’ computer is the official clock for this Contest.

Judging:

Eligible Entries will be judged by designated GMA staff chosen by the Sponsors in their sole discretion. Eligible entries ranked in the top twenty (“Top 20”) of the musical.ly “likes” leaderboard as of the end of Rounds One, Two, and Three will be considered for advancement for the next Round. If an Entrant in the Top 20 in any Round does not meet the eligibility criteria for the Contest, he or she will be eliminated, and the next eligible entry in the musical.ly “likes” rankings (#21, #22, #23, etc.) as of the end of the respective Round will be considered until 20 eligible Entries are established for that Round. In the event an Entry in the Top 20 is deemed ineligible, all other Entries will move up in the rankings accordingly. The judges will evaluate the eligible Entries for Rounds One, Two, and Three on the basis of musical.ly likes, creativity, performance, and potential for on-air appeal (the “Criteria”), each of which shall be weighted equally. The Finals will be judged on the basis of crowd appreciation with the judges determining the Winner based on the loudest crowd applause for each Finalist (the “Finals Criteria”). In the event of a tie, the entry with the higher score in creativity will advance to the next round or (in the Finals) will be declared the Winner. Decisions of the judges are final as to all Contest-related matters.

Rounds 1 & 2

GMA will issue the musical.ly challenge at approximately 8:30 a.m. on Monday, 06/06/16 to begin Round One which will close at 12:00p ET on Wednesday 06/08/16. Using the Criteria, the judges will select eight (8) eligible Entries from the Top 20 as of the close of Round One who will be announced as the Quarter-Finalists at approximately 8:30 a.m. on Monday 06/13/16 on GMA when GMA will issue the musical.ly challenge for Round Two. Round Two closes at 5p ET on Monday 06/13/16. Any entrant from Round One not selected as a Quarter-Finalist or any new entrant to the Contest may submit an entry as a wild-card submission in Round Two. If a Quarter-Finalist does not submit an entry by the end of Round Two, he or she will not be considered for advancement to Round Three.

Round 3

Using the Criteria, the judges will select two (2) eligible Entries from the Quarter-Finalists in addition to two (2) wild card entries from the Top 20 wild card submissions as of the close of Round Two who will be announced as the four (4) Semi-Finalists at approximately 8:30 a.m. on Tuesday 06/14/16 on GMA when GMA will issue the musical.ly challenge for Round Three. Round Three closes at 5p ET on 06/14/16. Any entrant not selected as a Semi-Finalist or any new entrant to the Contest may submit an entry as a wild-card submission in Round Three.

Finals

Using the Criteria, the judges will select two (2) eligible Entries from the Semi-Finalists or from the Top 20 wild card submissions as of the close of Round Three who will be announced as the two (2) Finalists at approximately 8:30 a.m. on Thursday 06/16/16 on GMA. The two Finalists will travel to New York to compete in the Final musical.ly challenge on GMA on Friday 06/17/16. Only the Entrants will travel to New York for the Finals – any Participants who appeared in the Video(s) with the Entrant will be ineligible to travel. The Finalists will each perform a musical.ly while in New York City and each Finalist’s musical.ly will be displayed for the audience in Central Park at the GMA Summer Concert event on 6/17/16. The Winner will be selected using the Finals Criteria. Entrants who are selected as Finalists will be notified by email and/or phone on about June 15, 2016 that his or her Entry has been selected as a Finalist. The Finalists have twenty-four (24) hours to acknowledge the notification of Sponsors’ selection of his or her Entry as a Finalist. If in the event a Finalist is deemed ineligible, does not respond to Sponsors’ notification within the allotted time period, is not available to travel to New York for the Finals, or fails to comply with Contest procedures, then, time permitting, the first runner-up Entrant(s) will be selected as a Finalist subject to the acknowledgment terms and conditions set forth for other Finalists, or Sponsors reserve the right to terminate the Contest at their discretion.

Upon satisfaction of all rules and conditions, the Winner may accept the Grand Prize.

Grand “Prize”: The Winner will receive: [a] the opportunity for a backstage meet and greet with Demi Lovato (“Artist Meeting”) at the GMA Summer Concert Series on 06/17/16. Sponsor makes no representation as to the participation of the Artist in the Meeting portion of the Grand Prize. Artist Meeting has no cash value and is subject to talent availability and professional commitments. Winner will meet Artist for a period of up to 3 minutes, off-camera, at a time and location to be determined by Sponsor in its sole discretion, with Sponsor’s representative(s) also being present during the Artist Meeting; [b] two-tickets to a concert on the 2016 Demi Lovato “Future Now” Tour. Sponsor will make best efforts to secure tickets to a concert on a tour location closest to Winner’s home.

All elements of the Grand Prize are determined at the sole discretion of the Sponsor, including but not limited Artist Meeting. In the event the Artist Meeting portion of the Grand Prize does not or cannot take place as scheduled or at all, for reasons including but not limited to postponement, an event of force majeure, or for any other reason, then Sponsor reserves the right to award the remainder of the prize with no further obligation to the winner. Winner must follow all instructions of Sponsor relative to the prize and/or concert. Should Winner fail to adhere to any such instructions or engage in unruly, obnoxious, illegal, threatening, or otherwise inappropriate behavior (as determined by Sponsor in its sole discretion), Sponsor reserves the right, without further notice or warning, to terminate the applicable experience early, in whole or in part, and send Winner home and/or take other actions as Sponsor deems appropriate in its sole discretion without any liability or other obligation to Winner. Winner must comply with GMA and/or Concert provider’s rules and regulations at all times. Failure to do so may result in forfeiture of the prize. Prize is subject to availability. All expenses not specifically mentioned herein are not included and are solely the Winner’s responsibility, including but not limited to: travel to the “Future Now” concert event, meals, alcoholic beverages, gratuities and tips, insurance, merchandise, parking, service charges, and souvenirs. Certain restrictions and blackout dates may apply. If Winner is a minor (as defined by state or province of primary residence), Winner must be accompanied by his/her Parent or Guardian as a Travel Companion. Winner and Travel Companion will be required to execute and return a “Release of Liability” prior to ticketing. If the actual value of the prize is less than the stated ARV, the difference will not be awarded. The prize cannot be used in conjunction with any other promotion or offer. Prize elements may not be separated. Winner will not receive compensation from Sponsor for prize elements, including tickets that the Winner is unable to use for any reason, and such unused portion of the prize will be forfeited. The prize will be awarded provided it is validly claimed by 09/16/16.

By entering this Contest and accepting the Prize, Winner and Traveling Companion agree to maintain their behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Contest- or Prize-related activity. Winner understands and agrees that Sponsors and the applicable prize providers have the right, in their sole discretion, to disqualify and remove Winner or Travel Companion from any activity at any time if the Winner’s or Travel Companion’s or behavior is at any point uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of a Sponsor or any prize provider or otherwise violates the policies of the prize providers, and, in such a case, Winner will remain solely responsible for all taxes and other expenses related to the Prize and responsible for the costs of removing him or her (or his/her guests) from use of the Prize and any related damages, losses, or expenses.Federal, state, and local taxes associated with the receipt or use of the Prize, if any, are the sole responsibility of the Winner. Winner must provide a validly completed IRS Form W-9 to the Sponsors or Prize Provider. An IRS Form 1099 reflecting the final actual value of any prize valued at $600 or more, if required by law, will be issued to the Winner. The approximate retail value (“ARV”) of the Grand Prize is $500 USD. The final value of the Prize will be determined at the sole discretion of the Sponsors based upon elements used to fulfill the Prize.

The Winner is not entitled to exchange or transfer the Prize or to obtain cash or other substitutes, but Sponsors, in their sole discretion, may substitute prizes of equal or greater value.

In the sole discretion of the Sponsors, the Videos, Entrants and Participants or Traveling Companion may be featured in videotaped and/or live broadcast segments on Good Morning America, including promotion thereof, or on www.gma.yahoo.com by any means or method whether now known or hereafter devised and in all media, including, but not limited to online. If featured or used, Sponsors reserve the right to edit any Videos in their sole discretion.

Any appearance on Good Morning America is subject to availability. Sponsors are not responsible for cancellation or preemption of show or for other circumstances that make it impractical or impossible to fulfill this element of the Prize. The appearance portion of the Prize has no approximate retail value and if it becomes impractical or impossible to fulfill this or any element, Sponsors’ only obligation will be to provide the remainder of Prize, if any.

WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FURTHER, WINNER AGREES THAT THE RELEASED PARTIES (DEFINED BELOW) ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY. WINNER ACKNOWLEDGES THAT HE OR SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS, OR LIABILITIES OF HIS OR HER GUESTS RELATED TO ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS, CLAIMS OR LIABILITIES RELATED TO ANY TRAVELING COMPANION’S PARTICIPATION.

Releases: By participating in the Contest, Entrants, Participants, Winner and Traveling Companion agree to be bound by these Official Rules and the decisions of the Sponsors/Judges, which shall be final in all respects. By entering the Contest, Entrants, Participants, Winner and Traveling Companion agree to execute in a timely manner and by any deadline set by Sponsors any and all paperwork requested by the Sponsors which may include, but is not limited to, background checks and any release forms, prior to any online or on air appearance of Entrants, Participants, Winner and Traveling Companion participating in a videotaped or live broadcast, or use of Entrants’ Video or related materials.

All Entries will become the sole property of the Sponsors, which may reprint or otherwise exploit the Entries in any manner, in any media, worldwide, in perpetuity, without any further obligation or compensation to the Entrants or any third party. Winner or Traveling Companion may be required to sign and return an affidavit of eligibility, release and indemnification within twenty-four (24) hours of notification of winning. By participating in this Contest and accepting any Prize that they may win, Entrants, Participants, and Traveling Companion agree to release, defend, indemnify, and hold harmless the Sponsors and each of their respective parent, subsidiary, affiliated and successor companies, licensees, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from, but not limited to, any and all actions, complaints, claims, injuries, liabilities, fees (including reasonable attorney’s fees), royalties, costs, losses or damages arising in any manner, directly or indirectly, by whomever or wherever asserted, from a.) Entrants’ participation in the Contest, b.) Sponsors’ exercise of the rights granted herein and/or c.) the acceptance, use or misuse of any Prize or portion of any Prize.

Sponsors are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsors’ sole discretion, without further obligation or compensation to the Entrants, or any other affiliated party.

By submitting an Entry hereunder, you hereby grant to the Sponsors each of their parents, subsidiaries, licensees and affiliated companies, and each of their respective officers, directors, agents, servants, representatives, shareholders and employees, as well as each of their respective successors, representatives and assignees the exclusive right to use and distribute your Video, as well as your likeness, picture, voice, name and biographical material (all such materials are sometimes collectively referred to as the “Materials”) in any and all manner, methods, formats and media now known or hereafter created, including without limitation, all forms of television, radio, internet, cable, satellite, wireless applications, home video products and devices, etc., in connection with the Contest, the Production, ABC’s programming, and in all advertising and promotion for the foregoing, throughout the universe, in perpetuity. Except where prohibited by law, Entrants hereby forever waive and relinquish all so-called “moral rights” (droit moral) now or hereafter recognized in connection with his or her Video.

Entrants acknowledge that any Entries may be included and/or discussed in a broadcast, that such discussion may include statements or opinions by the broadcast talent or others about the Entrants, the Entrants’ appearances and/or the Materials, and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them, Sponsors’ employees, their studio or at-home audience and/or other third parties. Entrants release the Released Parties from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any such statements or opinions made during a broadcast.Sponsors are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this Contest. In the event of a dispute over an electronic entry, Prize will be awarded to the owner of the e-mail account, not the name on the entry form.

To claim prize: (a) Winner and, if applicable, Traveling Companion must provide proof of age, identity and residency; (b) Winner and, if applicable, Traveling Companion must sign and return required affidavits of eligibility/compliance with rules, publicity/liability release and indemnification no later than 07/01/16 (c) Winner, Participants, and Traveling Companion must also agree to complete and submit any additional releases, indemnifications and other requisite paperwork as specified at the discretion of the Sponsors, all within the time period specified by Sponsors.

Miscellaneous; Winner Posting: Void where prohibited. All federal, state and local laws and regulations apply.

Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the Contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the Contest as originally planned.
