GMA's 'Magic Mike XXL' Epic Dance Contest: Official Rules

May 26, 2015— -- NO PURCHASE NECESSARY TO ENTER OR WIN.

Eligibility Guidelines: Contest sponsored by Good Morning America ("GMA") and American Broadcasting Companies, Inc. (“ABC”), (collectively, the "Sponsors"). Entrants (“Entrant”) to “GMA’S MAGIC MIKE XXL EPIC DANCE CONTEST" (“Contest”) must be legal residents of the 48 contiguous United States or the District of Columbia and twenty-one (21) years old or older. If selected as a Finalist, Entrant must be available to participate in a possible interview for broadcast on GMA on June 23rd. Winner and Participants or Traveling Companion (who may accompany a Winner under these rules) must be available to travel to and be in Los Angeles on or about June 24 – 26, 2015 for a premiere of “MAGIC MIKE XXL” (“Film”).

Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for the Sponsors, Warner Bros. Entertainment, Inc. (“Warner Bros.”), any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the prize, and each of their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

How to Enter: To enter, navigate the Internet to www.goodmorningamerica.com (“Contest Site”) and click on the link for “GMA’S MAGIC MIKE XXL EPIC DANCE CONTEST" which will take you to the Contest home page. There you will find instructions on the appropriate and acceptable file formats and sizes for submitting your Video entry electronically.

Complete the Contest entry form with the requested information and submit a video (“Video”) up to one (1) minute in length of you performing your own dance interpretation of any portion of “Pony (Instrumental)” available at http://abc.go.com/music-lounge/news/exclusives/gma-magic-mike-dance-contest. The Entrant must perform in the Video. Up to three (3) other people twenty-one (21) years or older (“Participants”) may also perform in the Entrant’s Video. You MUST use ”Pony (Instrumental)” in your Video. You are prohibited from using any other music, songs, melodies, recordings, lyrics, singing, or lip synching in your Video. The performances must be appropriate for a morning TV audience, and cannot, for example, include any nudity, lewd, provocative or indecent content that is inappropriate for the general public including children. Any Videos that violate these rules or include inappropriate or offensive content, in the sole discretion of the Sponsors, may be disqualified and deleted. Limit one (1) Entry per person/per Participant for this Contest.

You warrant and represent that your Video and all of the materials submitted by you are original to you (and not based on or derived from any other materials), that you own all necessary rights in and to the Video (with the exception of the rights to “(Pony (Instrumental)” which are fully transferable, and that you are not subject to any recording agreement, production agreement, union or guild agreement, or any similar agreement which would interfere with your ability to enter into this Contest or grant all of the rights to be provided hereunder. Accordingly, you further warrant and represent that you have the right to enter into this agreement and grant the rights hereunder without the need for permission from or payment to any other party and the exercise of the rights set forth herein and in the Contest Rules by the Sponsors will not violate any third party rights and will not violate any contractual obligations or confidential relationships which you may have to or with any third party. Your Video should not contain any third-party logos, brands, products or trademarks or you may risk disqualification. This means that no one in your Video should wear any clothing or hats containing third party logos or trademarks.

You may not submit your Video in any other contest or promotion.

Upon submission of your Video together with the completed entry form (collectively, “Entry”), you will see a thank you message on your screen indicating that you have successfully entered. You will not receive a further acknowledgement. Free internet access is available at most public libraries.Incomplete Entries will be disqualified. Proof of entering information at the Contest Site or registration form is not considered proof of delivery to or receipt by Sponsors of such Entry. Personal information collected in connection with this Contest will be used in accordance with ABC.com’s privacy policy, available at http://corporate.disney.go.com/corporate/pp.html.

Contest Entry Period: “GMA’S MAGIC MIKE XXL EPIC DANCE CONTEST" Contest entry period begins 7:00 a.m. Eastern Time ("ET") on Tuesday, May 26, 2015 and ends at 3:00 p.m. ET on Friday, June 12, 2015 (the "Contest Period"). Sponsors’ computer is the official clock for this Contest.

Judging and Final Competition: Eligible Entries will be judged by designated staff or guest judges chosen by the Sponsors in their sole discretion. The judges will evaluate eligible Entries on the basis of dance performance, creativity, on-air appeal, inspiration from the Song, and originality (the “Criteria”), each of which shall be weighted equally. Decisions of the judges are final as to all Contest-related matters.

Three (3) Entries will be chosen as Finalists (“Finalists”) by the judges. In the event of a tie, the entry with the higher score in the dance performance category will be declared one of the Finalists.

The three (3) Entrants whose Videos are selected as Finalists will be notified by email and/or phone” on about June 15, 2015 that his or her Entry has been selected as a Finalist. The Finalists have twenty-four (24) hours to acknowledge the notification of Sponsors’ selection of his or her Entry as a Finalist. If in the event a Finalist is deemed ineligible, does not respond to Sponsors’ notification within the allotted time period, is not available to participate in a possible interview on GMA on June 23rd, or fails to comply with Contest procedures, then, time permitting, the first runner-up Entrant will be selected as a Finalist subject to the acknowledgment terms and conditions set forth for other Finalists, or Sponsors reserve the right to terminate the Contest at their discretion.

On June 23, 2015, the Videos by the three Finalists will be considered in another round of judging by a second panel of judges to be determined by Sponsors which may include member(s) of the cast of MAGIC MIKE XXL. Using the Criteria weighted equally, these judges will select one Finalist as the Winner. In the event of a tie, the entry with the higher score in the dance performance category will be declared the Winner. The Winner may be announced on “Good Morning America” and/or www.gma.yahoo.com. The Winner is considered the Entrant who submitted the winning Video.

Upon satisfaction of all rules and conditions, the Winner may accept the Grand Prize.

In the event that the Entrant who submitted the winning Entry and/or his or her Participants is deemed ineligible, fails to comply with Contest procedures, is not available to participate as specified, or does not respond to Sponsor’s notification of winning within twenty-four (24) hours, then the first runner-up among the remaining two Finalists will be selected as the Winner, time permitting.

Grand “Prize”: The Winner and the up to three (3) Participants in the winning Video, or the Winner and one (1) Traveling Companion if the Winner appears in the Video alone, will receive:

- Up to four (4) roundtrip coach airfare between a major airport closest to the Winner’s home and a Los Angeles area airport.

- Two (2) nights accommodations for up to four (4) people in two (2) hotel rooms with daily breakfast

- Roundtrip transportation between the Los Angeles area airport and Los Angeles hotel

- Up to four (4) tickets to a Los Angeles premiere of MAGIC MIKE XXL (both the screening and after-party) on or about June 25, 2015 - $100 Daily allowance per hotel room for each day’s accommodation

- Travel insurance for up to four (4) people.

- One (1) copy of the CD of the official soundtrack of MAGIC MIKE XXL for the Winner and each Participant in the winning Video.

- All other expenses are the sole responsibility of the Winner, Participants, or Travel Companion.

For the avoidance of doubt, only the Winner and Participants in the Video are eligible to travel as part of the Prize, except if the Winner appears alone in the Video, then Winner may invite a Traveling Companion. Entrants appearing with Participants (and the Participants themselves) are not entitled to Traveling Companions.

A Winner and Participants (or Traveling Companion for Winner who appears in Video alone) residing within 200 miles of Los Angeles will be provided ground transportation, rather than airfare, for Winner and Participants or Traveling Companion to and from Los Angeles.

Entrants and Participants in the remaining two (2) Finalist Videos will each receive: one (1) CD of the official soundtrack of MAGIC MIKE XXL.

Address of premiere screening theater will be provided by the Sponsors a reasonable time prior to the premiere screening. Sponsors suggest for Winner and Participants or Travel Companion to arrive at the theater for premiere screening at least one (1) hour before the premiere starts. No admittance without a ticket or after the premiere screening has begun. The Grand Prize Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring the premiere screening or after-party tickets. Winner also acknowledges that Warner Bros. will be hiring anti-piracy security and that each guest must follow security protocol. If, for whatever reason, the premiere of the Film is cancelled or rescheduled after the tickets are ticketed, no compensation will be paid in lieu of any cancelled or rescheduled showing of the Film. No responsibility is assumed by Sponsors if the premiere is cancelled, rescheduled, delayed or postponed, in whole or in part. Unused tickets cannot be refunded or exchanged. By entering this Contest and accepting the Prize, Winner, Participants or Traveling Companion agree to maintain their behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Contest- or Prize-related activity. Winner understands and agrees that Sponsors and the applicable prize providers have the right, in their sole discretion, to disqualify and remove Winner, Participants or Travel Companion from any activity at any time if the Winner’s, Participants’ or Travel Companion’s or behavior is at any point uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of a Sponsor or any prize provider or otherwise violates the policies of the prize providers, and, in such a case, Winner will remain solely responsible for all taxes and other expenses related to the Prize and responsible for the costs of removing him or her (or his/her guests) from use of the Prize and any related damages, losses, or expenses. Airfare tickets and other Prize components may be subject to additional terms and conditions imposed by their respective issuer. Winner and Participants or Travel Companion must travel together on the same itinerary. Winner and Participants or Traveling Companion must depart from and return to the same airport. It is the sole responsibility of Winner and Participants or Traveling Companion to comply with all travel requirements, which may include, without limitation, presenting necessary identification at the time of travel. Winner and Participants or Traveling Companion must satisfy all security requirements and pass all security screening processes necessary to travel on Prize trip, including, without limitation, those imposed by any government or governmental agency, any common carrier, Sponsors or any of the prize providers. Flight schedules are subject to change without notice. Sponsors or any prize provider are not liable for any missed Prize events, opportunities, or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. Additional restrictions may apply. Winner may be required to provide a credit card at time of check-in to cover hotel incidentals. Specific travel arrangements and all prize details not specified in these Official Rules will be determined by Sponsors in their sole discretion. Any and all meals, gratuities, in-room charges, travel expenses, carrier fees, government charges, transfers, ground transportation, and other costs and expenses associated with Prize acceptance or use and not specified in these Official Rules as being part of the Prize will be the sole responsibility of Winner.

Additionally, the Winner will receive three thousand eight hundred dollars ($3,800) to be used toward the Winner’s Federal, State and Local income taxes (“Taxes”); however, Sponsors make no representation or warranty that this amount, which is also subject to taxes, will be sufficient to pay all of Winner’s federal, state and local income tax liability, which is solely the responsibility of each Winner.

Federal, state, and local taxes associated with the receipt or use of the Prize, if any, are the sole responsibility of the Winner. Winner must provide a validly completed IRS Form W-9 to the Sponsors or Warner Bros. An IRS Form 1099 reflecting the final actual value of any prize valued at $600 or more, if required by law, will be issued to the Winner by Warner Bros. The approximate retail value (“ARV”) of the Grand Prize is Twelve Thousand Six Hundred Dollars ($12,600) USD. The final value of the Prize will be determined at the sole discretion of the Sponsors based upon elements used to fulfill the Prize. The total ARV of all Prizes awarded is Twelve Thousand Seven Hundred Twenty Dollars ($12,720).

The Winner is not entitled to exchange or transfer the Prize or to obtain cash or other substitutes, but Sponsors, in their sole discretion, may substitute prizes of equal or greater value.

In the sole discretion of the Sponsors, the Videos, Entrants and Participants or Traveling Companion may be featured in videotaped and/or live broadcast segments on Good Morning America, including promotion thereof, or on www.gma.yahoo.com or may be used by Warner Bros. in connection with the marketing and advertising of the motion picture MAGIC MIKE XXL by any means or method whether now known or hereafter devised and in all media, including, but not limited to online. If featured or used, Sponsors and Warner Bros. reserve the right to edit any Videos in their sole discretion.

Any appearance on Good Morning America is subject to availability. Sponsors are not responsible for cancellation or preemption of show or for other circumstances that make it impractical or impossible to fulfill this element of the Prize. The appearance portion of the Prize has no approximate retail value and if it becomes impractical or impossible to fulfill this or any element, Sponsors’ only obligation will be to provide the remainder of Prize, if any.

WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FURTHER, WINNER AGREES THAT THE RELEASED PARTIES (DEFINED BELOW) ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY. WINNER ACKNOWLEDGES THAT HE OR SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS, OR LIABILITIES OF HIS OR HER GUESTS RELATED TO ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS, CLAIMS OR LIABILITIES RELATED TO ANY PARTICIPANT’S OR TRAVELING COMPANION’S PARTICIPATION IN THE PRIZE TRIP.

Releases: By participating in the Contest, Entrants, Participants, Finalists, Winner and Traveling Companion agree to be bound by these Official Rules and the decisions of the Sponsors/Judges, which shall be final in all respects. By entering the Contest, Entrants, Participants, Finalists, Winner and Traveling Companion agree to execute in a timely manner and by any deadline set by Sponsors any and all paperwork requested by the Sponsors which may include, but is not limited to, background checks and any release forms, prior to any online or on air appearance of Entrants, Participants, Finalists, Winner and Traveling Companion participating in a videotaped or live broadcast, or use of Entrants’ Video or related materials.

All Entries will become the sole property of the Sponsors, which may reprint or otherwise exploit the Entries in any manner, in any media, worldwide, in perpetuity, without any further obligation or compensation to the Entrants or any third party. Winner, Participants or Traveling Companion may be required to sign and return an affidavit of eligibility, release and indemnification within twenty-four (24) hours days of notification of winning. By participating in this Contest and accepting any Prize that they may win, Entrants Participants, and Traveling Companion agree to release, defend, indemnify, and hold harmless the Sponsors, Warner Bros. and each of their respective parent, subsidiary, affiliated and successor companies, licensees, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from, but not limited to, any and all actions, complaints, claims, injuries, liabilities, fees (including reasonable attorney’s fees), royalties, costs, losses or damages arising in any manner, directly or indirectly, by whomever or wherever asserted, from a.) Entrants’ participation in the Contest, b.) Sponsors’ exercise of the rights granted herein and/or c.) the acceptance, use or misuse of any Prize or portion of any Prize.

Sponsors and/or Warner Bros. are not obligated to use any of the above mentioned information or materials, but may do so and Sponsors and/or Warner Bros. may edit such information or materials, at Sponsors’ and/or Warner Bros.’ sole discretion, without further obligation or compensation to the Entrants, or any other affiliated party.

By submitting an Entry hereunder, you hereby grant to the Sponsors, Warner Bros. each of their parents, subsidiaries, licensees and affiliated companies, and each of their respective officers, directors, agents, servants, representatives, shareholders and employees, as well as each of their respective successors, representatives and assignees the exclusive right to use and distribute your Video, as well as your likeness, picture, voice, name and biographical material (all such materials are sometimes collectively referred to as the “Materials”) in any and all manner, methods, formats and media now known or hereafter created, including without limitation, all forms of television, radio, internet, cable, satellite, wireless applications, home video products and devices, etc., in connection with the Contest, the Production, ABC’s programming, the Artist, and/or the Film, and in all advertising and promotion for the foregoing, throughout the universe, in perpetuity. Except where prohibited by law, Entrants hereby forever waive and relinquish all so-called “moral rights” (droit moral) now or hereafter recognized in connection with his or her Video.

Entrants acknowledge that any Entries may be included and/or discussed in a broadcast, that such discussion may include statements or opinions by the broadcast talent or others about the Entrants, the Entrants’ appearances and/or the Materials, and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them, Sponsors’ employees, their studio or at-home audience and/or other third parties. Entrants release the Released Parties from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any such statements or opinions made during a broadcast.

Sponsors are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this Contest. In the event of a dispute over an electronic entry, Prize will be awarded to the owner of the e-mail account, not the name on the entry form.To claim prize: (a) Winner, Participants or Traveling Companion must provide proof of age, identity and residency; (b) Winner, Participants or Traveling Companions must sign and return required affidavits of eligibility/compliance with rules, publicity/liability release and indemnification by no later than June 23, 2015, and (c) Winner, Participants, and Traveling Companion must also agree to complete and submit any additional releases, indemnifications and other requisite paperwork as specified at the discretion of the Sponsors, all within the time period specified by Sponsors.

Miscellaneous; Winner Posting: Void where prohibited. All federal, state and local laws and regulations apply.

Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the Contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the Contest as originally planned.
